1. Acceptance
By accessing or using SterileAtlas (the “Platform”), operated by Zentrum24 LLC (“SterileAtlas”, “we”, “us”), you agree to these Terms. If you use the Platform on behalf of an organization, you represent that you are authorized to bind it.
2. Accounts
You are responsible for the accuracy of your account information and for all activity under your account. Keep your credentials secure and notify us of any unauthorized use.
3. Acceptable use
You agree not to misuse the Platform, including scraping at scale, attempting to breach security, uploading unlawful or infringing content, or misrepresenting your identity, credentials, or capabilities.
4. Listings, content & the marketplace
Facility, company, consultant, and provider records may be user-submitted or illustrative and are not independently verified. The Platform is a discovery and connection tool; we are not a party to any engagement, contract, or transaction between users. You are solely responsible for your own due diligence, vendor qualification, and regulatory decisions.
5. Intellectual property
You retain rights to content you submit and grant us a license to host and display it to operate the Platform. The Platform’s software, design, and compilation are owned by Zentrum24 LLC.
6. Disclaimers
The Platform is provided “as is” without warranties of any kind. We do not warrant the accuracy, completeness, or fitness of any listing, capability claim, or regulatory status.
7. Limitation of liability
To the maximum extent permitted by law, Zentrum24 LLC is not liable for indirect, incidental, or consequential damages, or for decisions made in reliance on Platform content.
8. Changes & termination
We may update these Terms and may suspend or terminate accounts that violate them. Continued use after changes constitutes acceptance.
9. Governing law
These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules, and you and Zentrum24 LLC submit to the exclusive jurisdiction of the state and federal courts located there. [TODO: confirm venue with counsel.]
